Terms of Service

1. Agreement to these Terms
These Terms govern access to and use of LotBoss. By creating an account, publishing a storefront, or using the service, you agree to these Terms and the Privacy Policy. If you do not agree, do not use or publish through LotBoss.
2. LotBoss’s role and dealership affiliation
LotBoss is a third-party software platform that provides independently managed salesperson storefronts, content tools, inquiry routing, and related account features. LotBoss is not a dealership, vehicle manufacturer, employer, broker, lender, or party to a vehicle transaction. A salesperson’s use of LotBoss does not establish approval, sponsorship, participation, or endorsement by their listed dealership or a vehicle manufacturer unless that organization separately confirms it.
3. Accounts and eligibility
You must provide accurate account information, protect your sign-in credentials, and promptly update information that changes. You are responsible for activity through your account. You may not impersonate another person or create a storefront you are not authorized to manage.
4. Salesperson responsibilities
You are independently responsible for determining and following your dealership’s policies and all laws, rules, and industry requirements that apply to your advertising, communications, lead handling, pricing, branding, social media, and vehicle representations. LotBoss does not determine whether your dealership permits your use of the service.
5. Content accuracy, offers, and inventory
You are responsible for reviewing and maintaining all content you publish, including vehicle details, availability, prices, payments, incentives, qualifications, exclusions, expiration dates, and disclaimers. You must promptly correct, unpublish, or remove information that is inaccurate, misleading, unauthorized, or outdated. Shoppers must confirm vehicle information and transaction terms directly with the dealership.
6. Your content and license to LotBoss
You retain ownership of content you submit. You grant ChatDIY Inc. d/b/a LotBossApp a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, transmit, and display that content only as needed to operate, protect, improve, and promote the LotBoss service and your storefront. You represent that you have the rights and permissions needed for the content, names, logos, images, testimonials, and other material you provide. This license ends when the content is deleted, except for reasonable backups, legal retention, and material already shared at your direction.
7. Shopper inquiries and communications
Shopper inquiries are routed to the identified salesperson and may be shared with the listed dealership as needed to respond. Salespeople are responsible for obtaining any further consent required for marketing or promotional communications and for honoring opt-out requests. You may not use LotBoss to send unlawful, deceptive, abusive, or unsolicited communications.
8. Acceptable use
You may not interfere with the service; bypass access, rate, or form protections; scrape private data; introduce malicious code; infringe another party’s rights; publish deceptive or unlawful content; or use LotBoss in a way that could harm shoppers, other users, dealerships, manufacturers, or the service.
9. Beta access and future offerings
LotBoss is currently in private beta and is not generally available. Joining the waitlist does not guarantee access or a launch date. If LotBoss introduces a paid offering in the future, its terms will be presented for review before anyone chooses to participate.
10. Suspension and termination
You may stop using LotBoss at any time. We may remove content or suspend or terminate access when reasonably necessary to address violations, legal requests, security threats, harm to users or third parties, or material risk to the service. Provisions that by their nature should survive termination, including ownership, disclaimers, limitations, and dispute terms, will survive.
11. Service changes and disclaimers
LotBoss may add, change, or discontinue features. To the maximum extent permitted by law, the service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, lead volume, response, sales results, vehicle availability, pricing, financing, or transaction outcome. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
12. Limitation of liability
To the maximum extent permitted by law, ChatDIY Inc. d/b/a LotBossApp and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, leads, or business opportunities arising from LotBoss. Aggregate liability for claims relating to the service will not exceed the greater of the amount you paid for LotBoss during the twelve months before the event giving rise to the claim or one hundred U.S. dollars. These limits do not apply where prohibited by law.
13. Indemnity
To the extent permitted by law, you will defend and indemnify ChatDIY Inc. d/b/a LotBossApp against third-party claims, damages, and reasonable costs arising from your content, your communications, your vehicle or pricing representations, your violation of these Terms, or your violation of another party’s rights or applicable law.
14. Disputes and governing law
Before filing a formal claim, you and ChatDIY Inc. d/b/a LotBossApp agree to send written notice describing the dispute and try in good faith to resolve it for at least thirty days. The laws of the jurisdiction where ChatDIY Inc. d/b/a LotBossApp is organized govern these Terms, without regard to conflict-of-law rules, and any court proceeding must be brought in a court with jurisdiction where ChatDIY Inc. d/b/a LotBossApp is located, unless applicable consumer law requires a different result. Nothing in this section prevents either party from seeking urgent injunctive relief.
15. Changes to these Terms
We may update these Terms as the service changes. We will identify the current version and effective date. When a material change affects user responsibilities, content rights, liability, dealership affiliation, payment, or dispute provisions, LotBoss may require users to review and accept the updated Terms before publishing or continuing affected features.
16. General terms
These Terms and the Privacy Policy are the entire agreement about LotBoss unless separate written terms apply. If a provision is unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not transfer your account or these Terms without consent; ChatDIY Inc. d/b/a LotBossApp may assign them as part of a merger, acquisition, financing, reorganization, or sale of assets.
